LIVINGMAJIK Wholesale Terms & Conditions

These Wholesale Terms & Conditions (“Agreement”) govern the purchase of products from LIVINGMAJIK (“Company,” “we,” “our,” or “us”) by approved wholesale partners (“Wholesale Customer,” “Retailer,” or “you”).

By applying for a wholesale account, placing a wholesale order, or continuing to purchase products from LIVINGMAJIK, you acknowledge and agree to the following terms:

1. Eligibility & Account Approval

Wholesale accounts are available exclusively to legally registered businesses purchasing products for resale.

LIVINGMAJIK reserves the right to approve, deny, suspend, or terminate any wholesale account at its sole discretion.

Applicants may be required to provide:

• Valid business license

• Resale certificate or seller’s permit

• Tax identification number

• Additional business verification documentation upon request

2. Wholesale Pricing & Minimum Orders

Wholesale pricing is based on product quantities ordered per transaction and is subject to change without notice.

Minimum order quantities may apply to qualify for wholesale pricing.

All prices are listed in U.S. dollars unless otherwise stated.

LIVINGMAJIK reserves the right to modify pricing, discontinue products, or limit product availability at any time.

3. Payment Terms

Accepted payment methods and payment terms will be communicated upon wholesale account approval.

Orders may require:

• Full prepayment

• Net payment terms

• Partial deposits

• Other approved arrangements

Late payments may result in delayed shipments, suspension of wholesale privileges, or account termination.

4. Shipping & Delivery

Shipping costs, duties, taxes, and import fees are the responsibility of the Wholesale Customer unless otherwise agreed in writing.

Estimated shipping and delivery timelines are provided for convenience only and are not guaranteed.

LIVINGMAJIK is not responsible for delays caused by carriers, weather, customs, supply chain disruptions, or other circumstances beyond our control.

Risk of loss transfers to the Wholesale Customer upon shipment.

5. Product Resale & Brand Representation

Wholesale products are intended solely for resale through approved retail channels.

Products may not be resold on third-party marketplaces including Amazon, Walmart Marketplace, eBay, or similar platforms without prior written approval from LIVINGMAJIK.

Wholesale Customers agree not to alter, relabel, or misrepresent LIVINGMAJIK products, packaging, branding, ingredients, or marketing materials.

All representations regarding LIVINGMAJIK products must comply with applicable laws and regulations.

6. Returns, Damages & Claims

Claims for damaged, defective, or incorrect products must be submitted in writing within 5 business days of delivery.

Unauthorized returns may be refused.

LIVINGMAJIK reserves the right to approve refunds, replacements, credits, or exchanges at its sole discretion.

Products damaged due to improper storage, handling, or misuse are not eligible for return or refund.

7. Taxes & Compliance

Wholesale Customers are responsible for providing valid resale certificates and tax exemption documentation where applicable.

Applicable taxes will be charged if exemption documentation is not provided or deemed invalid.

Wholesale Customers are solely responsible for complying with all local, state, federal, and international laws regarding the marketing, resale, and distribution of products.

8. Intellectual Property

All trademarks, logos, product names, content, graphics, and branding associated with LIVINGMAJIK remain the exclusive property of the Company.

Wholesale Customers may use approved brand assets solely for the purpose of promoting authorized LIVINGMAJIK products.

Unauthorized use of branding or intellectual property is prohibited.

9. Limitation of Liability

To the fullest extent permitted by law, LIVINGMAJIK shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the purchase, resale, or use of its products.

LIVINGMAJIK’s total liability shall not exceed the purchase price paid for the products giving rise to the claim.

10. Account Suspension & Termination

LIVINGMAJIK reserves the right to suspend or terminate any wholesale account at any time for:

• Violation of these terms

• Misrepresentation of the brand

• Unauthorized resale practices

• Nonpayment

• Any conduct deemed harmful to the Company or brand reputation

11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

12. Amendments

LIVINGMAJIK reserves the right to update or modify these Terms & Conditions at any time.

Continued use of a wholesale account following any updates constitutes acceptance of the revised terms.

13. Acceptance of Terms

By submitting a wholesale application and/or placing a wholesale order, you confirm that you have read, understood, and agreed to these Wholesale Terms & Conditions.
